The board voted to add a Rule 506(c) and a New York Statute Section 63 bond to the offerings products available to investors.
Such bonds can be made a part of a U.C.C. 9(46) Financing Statement and uploaded onto New York’s U.C.C. electronic file. The filing, particularly as here, can act as a collateral, or a type of mortgage to the securities, where, in the event of default, the holder can go to New York civil courts for equitable and legal relief.
